HR due diligence

We can work closely with the target company to match staff records with payroll and management accounts to validate the integrity of the data; carry out structured interviews to satisfy any areas of concern for the acquirer; collect and assess HR data regarding contractual terms, the workforce profile, on-going disputes and areas of risk to assist in ensuring a fair price.

Due diligence is key pre-acquisition, or when service contracts change between two entities following a tender exercise, to identify any skeletons in the cupboard and to identify and retain key people in the target company. Due diligence can also be highly appropriate when a company is preparing itself for sale or as part of a review to ensure HR policies, procedures and practices are compliant with the latest legislation and fit for business purpose.

Recent assignments have been undertaking a strategic review of two manufacturing sites on behalf of VCs, advising an acquirer on the HR position in a target company, and advising a successful bidder to a local government tender on TUPE issues relating to the incumbent provider.
